The Constitution of the Harrisburg Area Dental Society

Article I.  Name

The name of this organization shall be the Harrisburg Area Dental Society, hereinafter referred to as "the Society" or "this Society."

Article II.  Object

The object of this Society shall be to encourage the improvement of the Dental health of the public, to promote the art and science of dentistry and to represent the interests of the members of the dental profession and the public, which it serves.

Article III.  Organization

Section 10. This Society is a non-profit corporation. If this Society shall be dissolved at any time, no part of its funds or property shall be distributed to, or among its members, but, after payment of all indebtedness of the Society, its surplus funds and properties shall be used for dental education and dental research in such a manner as the then governing body of the Society may determine.

Section 20. The membership of this Society shall consist of dentists, whose qualifications and classifications shall be established in Chapter I of the Bylaws.

Section 30. This Society is a constituent of the Fifth District Dental Society of the Pennsylvania Dental Association. The Pennsylvania Dental Association is aconstituent of the American Dental Association. No part of this Constitution or of these Bylaws is intended to be in conflict with the Constitution and Bylaws of these organizations, and if such a conflict should be determined,the conflicting portion of this Constitution or of these Bylaws shall be declared null and void.

Article IV.  Government

Section 10. The legislative and governing body of this Society shall be the Society as a whole.

Section 20. The administrative body of this Society shall be the Executive Committee as provided in Chapter III of the Bylaws of this Society.

Article V.  Officers

The officers of this Society shall be a President, a President-Elect, a Vice-President, a Secretary and a Treasurer; each of whom shall be elected as provided in Chapter II of the Bylaws of this Society.

Article VI.  Meetings

The Regular Meetings of this Society shall be held at least 4 times per year excepting during June, July and August and the month of the Annual Meeting of the Fifth District Dental Society. The December meeting shall be known as the Annual Meeting of this Society.

Section 20. Special meetings of this Society may be called by the President, or upon the direction of the majority of the Executive Committee, or upon written request of ten (10) percent of the membership. A written notice of the purpose, time and place of this meeting shall be sent to all members.

Article VII.  Principles of Ethics

The Principles of Ethics of the American Dental Association and the Code of Ethics of the Pennsylvania Dental Association shall be the Principles of Ethics of this Society and the Code of Ethics of this Society.

Article VIII.  Amendments

This Constitution and associated society Bylaws may be amended by a three-fourth (3/4) vote of the members present at any regular meeting, providing that the proposed amendment(s) shall have been presented in writing at the previous meeting.
